Agreement to Terms

By accessing our website, using the ScanInsights App, or enrolling in our training programs, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

These terms apply to all visitors, users, customers, and others who access or use our services, including the ScanInsights App, Ambassador Program, and ScanInsights Academy.

Our Services

ScanInsights provides the following services:

• AI-Powered Ultrasound Analysis: Automated analysis of bovine reproductive ultrasound images for pregnancy detection, embryo aging, and fetal sexing.
• ScanInsights App: Mobile and web application for real-time ultrasound analysis and herd management.
• Ambassador Program: The Ambassador Program and ScanInsights Academy courses for veterinary professionals and ultrasonography technicians or bovine reproductive physiologists.
• Hardware Integration: Compatible ultrasound equipment and technical support.

Account Registration

To access certain features of our services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept responsibility for all activities under your account
• Notify us immediately of any unauthorised use of your account

We reserve the right to suspend or terminate accounts that violate these terms or are inactive for extended periods.

Subscriptions & Payments

Pricing: All prices are quoted in Euros and are exclusive of VAT unless otherwise stated. Current pricing is available on our website and through our sales team.

Payment Terms: Subscription fees are billed in advance on an annual basis. Training course fees are due upon registration. All payments are non-refundable except as expressly stated in these terms or required by law.

Renewal: Subscriptions will automatically renew unless cancelled at least 30 days before the renewal date. You will be notified of any price changes before renewal.

Refund Policy: Hardware purchases may be returned within 14 days if unused and in original packaging, subject to a restocking fee.

Training & Certification

Participants in our Ambassador Program and ScanInsights Academy courses agree to:

• Complete all required modules and assessments
• Not share course materials or login credentials with third parties
• Use the training for professional development in cattle reproductive management
• Comply with any practical training requirements and safety guidelines

Certification is issued upon successful completion of all requirements. Certificates remain the property of ScanInsights and may be revoked for misuse or misrepresentation.

AI Technology & Accuracy

Decision-Support Tool: ScanInsights uses AI technology to detect and classify ultrasound image patterns associated with reproductive structures. In this context, the term “detect” refers exclusively to algorithmic image-pattern recognition and does not constitute a veterinary diagnosis. All reproductive assessments and clinical decisions must be made and confirmed by a licensed veterinarian.

Accuracy: Our AI algorithms have demonstrated 95%+ accuracy in internal validation studies for detecting and classifying ultrasound image patterns relevant to reproductive status. These performance metrics describe algorithm behaviour and are not a clinical pregnancy diagnosis. Any reproductive interpretation should be verified by a qualified veterinary professional. ScanInsights is not liable for decisions made based solely on AI analysis.

Continuous Improvement: Our AI models are continuously refined. By using our services, you consent to anonymised data being used for system training and improvement in accordance with applicable regulations.

Intellectual Property

All content, features, and functionality of our services—including but not limited to software, algorithms, text, graphics, logos, and training materials—are owned by ScanInsights and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use our services for their intended purposes. You may not:

• Copy, modify, or distribute our software or content
• Reverse engineer or attempt to extract the source code of our AI
• Use our trademarks without written permission
• Resell or sublicence our services to third parties

User Responsibilities

You agree to use our services responsibly and lawfully. You must not:

• Use the services for any unlawful purpose
• Upload malicious code or attempt to compromise our systems
• Interfere with other users' access to the services
• Misrepresent your qualifications or certifications
• Use the services in a manner that could harm animal welfare

Limitation of Liability

To the fullest extent permitted by Irish and EU law:

• ScanInsights provides services "as is" without warranties of any kind, express or implied
• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
• We are not responsible for losses arising from decisions based on AI analysis

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Indemnification

You agree to indemnify and hold harmless ScanInsights, its directors, employees, and partners from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

Termination

We may terminate or suspend your access to our services immediately, without prior notice, for conduct that we believe:

• Violates these Terms and Conditions
• Is harmful to other users, third parties, or our business interests
• Involves fraudulent or illegal activity

Upon termination, your right to use the services will cease immediately. Provisions that by their nature should survive termination shall survive.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Ireland. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the Irish courts.

If you are a consumer in the EU, you may also be entitled to bring proceedings in your country of residence and benefit from any mandatory consumer protection provisions of your local law.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of any material changes by posting the new terms on this page and updating the "Last Updated" date. Your continued use of the services after such changes constitutes acceptance of the new terms.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
